These Terms constitute a legally binding agreement between you ("User," "you," or "your") and FormDraft ("we," "our," or "us").

If you are using FormDraft on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" shall refer to both you individually and the entity you represent.

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date above and may notify you through the Service or by email. Your continued use of FormDraft after any changes indicates your acceptance of the updated Terms.

2. Description of Service

FormDraft provides an online platform for generating, customizing, and managing professional business documents, including but not limited to contracts, agreements, proposals, invoices, NDAs, and other legal and business templates. Our Service includes:

3. User Accounts

3.1 Registration

To access certain features of FormDraft, you must create an account by providing accurate, current, and complete information. You may register using your email address or through supported third-party authentication providers (such as Google). You must be at least 16 years of age to create an account.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination

You may delete your account at any time through your dashboard settings. We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a risk to other users or the integrity of our platform.

4. Intellectual Property

4.1 Our Intellectual Property

The FormDraft platform, including its software, design, logos, trademarks, template library, AI models, educational content, and all other materials, is the exclusive property of FormDraft and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our platform without our explicit written permission.

4.2 Your Content

Documents you generate using FormDraft are yours to use for your intended business purposes. You retain ownership of the specific content and data you input into our platform. However, you grant us a limited, non-exclusive license to process your content as necessary to provide the Service, including AI-powered customization and document generation.

4.3 Restrictions

You agree not to:

• Reproduce, redistribute, or resell FormDraft templates or content as a competing service
• Reverse engineer, decompile, or attempt to extract the source code of our platform
• Use automated tools (bots, scrapers, etc.) to access or extract content from our platform
• Remove or alter any copyright, trademark, or other proprietary notices from our materials

5. Subscription Plans and Payment Terms

5.1 Free and Paid Plans

FormDraft offers both free and paid subscription plans. The free plan provides limited access to templates and features. Paid plans unlock additional capabilities, including advanced AI customization, priority support, and unlimited document generation. Plan details and pricing are available on our Pricing page.

5.2 Billing

Paid subscriptions are billed on a recurring basis (monthly or annually, depending on your chosen plan). By subscribing, you authorize us to charge your designated payment method at the start of each billing cycle. All prices are displayed in the currency applicable to your region.

5.3 Cancellation

You may cancel your subscription at any time through your dashboard. Upon cancellation, you will continue to have access to paid features until the end of your current billing period. No prorated refunds are issued for partial billing periods, except as described in our refund policy.

5.4 Refunds

We offer a 14-day money-back guarantee for new subscriptions. If you are not satisfied with our Service within 14 days of your initial purchase, contact [email protected] for a full refund. Refund requests after the 14-day period are evaluated on a case-by-case basis.

5.5 Price Changes

We reserve the right to modify our pricing at any time. Price changes will take effect at the start of your next billing cycle. We will notify you at least 30 days in advance of any price increases.

6. Acceptable Use

You agree to use FormDraft only for lawful purposes and in compliance with these Terms. You must not:

• Use our platform to generate fraudulent, deceptive, or misleading documents
• Create documents intended to facilitate illegal activities, harassment, or discrimination
• Distribute spam, malware, or other harmful content through our platform
• Attempt to gain unauthorized access to our systems, other user accounts, or data
• Use the Service in any way that could damage, disable, or impair our infrastructure
• Impersonate any person or entity, or misrepresent your affiliation with any party
• Use the Service to generate content that infringes on the intellectual property rights of others

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including suspending or terminating accounts and reporting violations to law enforcement.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) documents generated will be legally binding, enforceable, or suitable for any specific purpose; (c) the results obtained from using the Service will be accurate or reliable; or (d) any defects in the Service will be corrected.

You expressly acknowledge that documents generated by FormDraft are templates and starting points, not substitutes for professional legal, financial, or business advice. You assume full responsibility for reviewing and verifying any document before use.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORMDRAFT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless FormDraft and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your documents or content created using the Service.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against FormDraft. Each party shall bear its own costs and fees in connection with any arbitration proceeding, except where otherwise required by law.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

12. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and FormDraft regarding the use of our Service. These Terms supersede any prior agreements, communications, or understandings, whether written or oral, relating to the subject matter herein.
